Terms of Service

1. Agreement

By accessing or using Clara Node ("Clara Node", "the Service"), you agree to these Terms of Service. If you do not agree, do not use the Service. These terms apply to all users including agencies, brands, and individual subscribers.

Clara Node uses YouTube API Services. By accessing or using Clara Node, you also agree to be bound by the YouTube Terms of Service.

2. Description of Service

Clara Node is a social media intelligence platform that helps agencies, brands, creators, and marketing teams turn public social data into actionable insights. It retrieves publicly available YouTube data via the YouTube Data API v3 and provides analysis tools including sentiment scoring, topic classification, creator search, and channel and sponsor intelligence.

Clara Node is an independent analytics tool. It is not affiliated with, endorsed by, or operated by YouTube or Google.

3. Accounts

3.1 Account creation

• You must provide accurate information when creating an account
• You are responsible for maintaining the security of your account credentials
• You must be at least 18 years old to create an account

3.2 Team and organization access

• Individual plans are for a single user. Multi-user access within the same organization requires a Team or Agency plan
• Sharing account access across separate organizations is not permitted without an Enterprise plan

3.3 Connecting YouTube channels

You may connect one or more YouTube channels to your Clara Node account via Google OAuth, whether the channel is your own, your employer's, or a client's. When you connect any channel:

• The channel owner (or a Google Brand Account manager with equivalent rights) must complete the Google OAuth consent flow. Clara Node does not accept credentials or tokens obtained any other way
• If the channel is not your own, you represent that you are acting as an agent expressly approved by the channel owner, as contemplated by YouTube API Services Developer Policies Section III.E.3.b
• You are responsible for maintaining the channel owner's authorization, handling any data subject requests they route to you, and ensuring your use of their data complies with applicable law
• If the channel owner revokes authorization directly or through their Google account, Clara Node will delete the associated analytics data within the windows described in Section 5

4. Acceptable Use

You agree not to:

• Use the Service to violate any applicable law or regulation
• Attempt to scrape, crawl, or extract data from the Service beyond what is provided through normal use
• Reverse engineer, decompile, or attempt to extract source code
• Use Clara Node's outputs to build a competing product without written permission
• Use the Service to harass, target, or harm specific individuals
• Circumvent any rate limits, access controls, or security measures
• Use Clara Node to download, cache, redistribute, or store YouTube audiovisual content for offline playback
• Use Clara Node to automate views, likes, comments, subscribes, uploads, or any other user action on YouTube
• Use Clara Node to scrape YouTube, circumvent YouTube's rate limits or quotas, or access YouTube data through any means other than YouTube's approved APIs
• Use Clara Node to modify, obscure, or block any portion of the YouTube player, YouTube-served advertisements, or YouTube attribution
• Infringe third-party intellectual property, privacy, or publicity rights through your use of Clara Node

5. YouTube API Services

Clara Node uses the YouTube Data API v3 and YouTube Analytics API. By using Clara Node, you agree to be bound by the YouTube Terms of Service and acknowledge the Google Privacy Policy.

Public API usage is limited to publicly available YouTube content. Users may connect channels they own or are authorized to manage to access private channel analytics via the YouTube Analytics API (read-only), as described in Section 3.3.

Data retention: Clara Node complies with YouTube API Services Developer Policies Section III.E:

• Public (non-authorized) API data is stored for no longer than 30 days (Section III.E.4.d)
• Connected account analytics data retrieved via the YouTube Analytics API may be retained as long as necessary to provide the service, with authorization re-verified every 30 days (Section III.E.4.b)
• When a user revokes access, their authorized data is deleted within 7 days of direct revocation (Section III.D.2.c.i), or within 30 days of revocation via Google account security settings (Section III.D.2.c.ii)
• User-initiated deletion requests for YouTube API data are completed within 7 days (Section III.E.4.g)

Disclaimer on derived metrics: Sentiment scores, topic classifications, engagement rankings, and all other computed metrics displayed in Clara Node are calculated by Clara Node. These metrics are not provided by, affiliated with, or endorsed by YouTube or Google.

Made For Kids content: Where Clara Node processes YouTube content designated as Made For Kids, behavioral tracking is disabled for that content and data collection conforms to COPPA and GDPR requirements applicable to content directed at children (Section III.E.4.j).

EU users: Use of Clara Node within the European Union is subject to the Google EU User Consent Policy, with which Clara Node complies.

6. Intellectual Property

• Clara Node owns all rights to the platform, its code, design, and proprietary analytical outputs
• YouTube and its licensors retain all rights, title, and interest in the YouTube API Services and all API Data. No rights to YouTube content or API Data are transferred to you through your use of Clara Node
• You retain ownership of any data or content you upload or input into the Service
• You grant Clara Node a limited license to process your inputs to deliver the Service

7. Payments and Subscriptions

• Subscription fees are billed in advance on a monthly or annual basis in Euros (EUR)
• All fees are exclusive of applicable taxes, which you are responsible for paying
• All fees are non-refundable except where required by law or at Clara Node's sole discretion
• Clara Node reserves the right to change pricing with 30 days' notice to existing subscribers
• Failure to pay may result in suspension or termination of your account
• Upon cancellation or termination, your access to the Service ends at the close of the current billing period. Clara Node will retain your account data for up to 90 days after termination before permanent deletion

8. Termination

Clara Node may suspend or terminate your account if you:

• Violate these Terms
• Engage in fraudulent or abusive activity
• Fail to pay fees when due

You may cancel your account at any time. Cancellation takes effect at the end of the current billing period.

Upon termination of Clara Node's access to YouTube API Services (whether by Clara Node, by YouTube, or by operation of these Terms), Clara Node will cease accessing YouTube API Services and delete all API Data in its possession in accordance with YouTube API Services Terms of Service Section 24.3.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. CLARA DOES NOT WARRANT THAT:

• The Service will be uninterrupted or error-free
• Data retrieved from YouTube will be complete or accurate
• Analytical outputs will be suitable for any specific business decision

Your access to YouTube content through Clara Node is at your sole risk. Clara Node does not warrant the availability, accuracy, usefulness, safety, or legality of YouTube content surfaced through the Service. YouTube is responsible for its own platform and content; Clara Node is an independent consumer of the YouTube API.

Use of Clara Node's outputs for financial, legal, or investment decisions is at your own risk.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLARA NODE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE. CLARA'S TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID TO CLARA IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold Clara Node harmless from any claims, losses, or expenses (including legal fees) arising from your use of the Service or violation of these Terms.

12. Changes to These Terms

We may update these Terms. Material changes will be communicated by email to registered users at least 14 days before taking effect. Continued use after the effective date constitutes acceptance.

13. Governing Law

These Terms are governed by the laws of France. Any disputes arising out of or in connection with these Terms shall be resolved in the competent French courts, without prejudice to the rights of consumers under applicable mandatory local law.
